Transactional Experience

Ted has served as lead counsel on transactions ranging in value from millions to billions of USD. He has advised on:

  • Joint-venture, co-investment, strategic collaboration, profit-participating and licensing/royalty arrangements

Ted has counseled private equity funds, venture funds, and seed and angel investors on all stages of private investment. He has also advised PE real estate funds on commercial real estate transactions (often involving FIRPTA-related capital corporate structures for foreign investors).

Investment Fund Experience

Ted has advised general partner and spin-out teams on establishing new investment funds and separate managed accounts. He also counsels limited partners/investors on the due diligence and terms pertinent to their participation in funds, managed accounts, co-investment and/or secondary transactions. Ted has advised on fund formation and investment matters for sponsors of alternative-asset investment funds.

Banking Experience

Ted has advised on scores of banking, leveraged acquisition financing, bond/note offering and debt restructuring transactions and creditor workouts. He has experience on all aspects of debt-finance structuring, as well as negotiating, transacting, closing and monitoring facility agreements, inter-creditor arrangements, letters of credit, and related tax, corporate and capital structures.

Private Investment Dispute Resolution Experience

Ted has advised limited partners and general partners on myriad disputes related to private investment fund management, including GP negligence or fraud, GP replacement, LP defaults and enforcement procedures. He has also coordinated the representation of clients in relation to their corporate commercial, IP and contractual disputes involving domestic and cross-border mediation, arbitration and litigation.
